1. Introduction & Definitions
1.1 Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MCP Hive, a Canadian federal corporation ("MCP Hive," "we," "us," or "our"), governing your access to and use of the MCP Hive platform, marketplace, website, and related services (collectively, the "Platform").
By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.
1.2 Definitions
For the purposes of these Terms, the following definitions apply:

| MCP Server | A software implementation of the Model Context Protocol that provides tools, resources, or prompts, registered on the Platform by a Provider. |
| Pool-MCP-Server | An MCP Server included in the subscription pool, where Provider earnings are derived from total pool earnings in proportion to usage. |
| Priced-MCP-Server | An MCP Server with a specified price-per-invocation, not included in the subscription pool. |
| Invocation | A single request made to an MCP Server through the Platform, including calls to tools, resources, or prompts. |
| Subscription Pool | The collective pool of subscription revenue distributed among Providers of Pool-MCP-Servers based on their proportional usage. |
| Platform | The MCP Hive website, gateway services, APIs, and all related infrastructure and services. |
| Content | Any data, text, code, information, or other materials transmitted through or processed by the Platform. |
1.3 Eligibility
To use the Platform, you must:
(a) Be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater;
(b) Have the legal capacity to enter into a binding agreement;
(c) Not be prohibited from using the Platform under applicable laws or regulations;
(d) Not be located in, or a resident of, a jurisdiction where use of the Platform is prohibited; and
(e) Not have previously had your account terminated by MCP Hive for violation of these Terms.
1.4 Modifications to Terms
MCP Hive reserves the right to modify these Terms at any time. For material changes, we will provide at least thirty (30) days' advance notice via email to the address associated with your account or through a prominent notice on the Platform. Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform before the modifications take effect.
2. Account Terms
2.1 Account Registration
To access certain features of the Platform, you must create an account by providing accurate, current, and complete information, including:
(a) Your full legal name;
(b) A valid email address; and
(c) A secure password.
You agree to promptly update your account information to maintain its accuracy.
2.2 Provider Verification
When acting as a Provider (i.e., when you register an MCP Server on the Platform), you must complete identity verification through our payment processor, Stripe Connect. This verification may include:
(a) Government-issued identification;
(b) Proof of address;
(c) Business registration documents (if applicable);
(d) Tax identification information (W-8BEN, W-8BEN-E, or equivalent); and
(e) Banking information for payout purposes.
Failure to complete verification may result in limitations on your ability to receive payouts or continued suspension of your Provider account.
2.3 Account Security
You are solely responsible for:
(a) Maintaining the confidentiality of your account credentials;
(b) All activities that occur under your account;
(c) Promptly notifying MCP Hive of any unauthorized access or security breach; and
(d) Ensuring that your account credentials are not shared with third parties.
MCP Hive shall not be liable for any loss or damage arising from unauthorized use of your account.
2.4 Single Account
Each individual or legal entity may maintain only one account on the Platform, unless expressly authorized in writing by MCP Hive. Multiple accounts may be terminated without notice.
2.5 Account Suspension and Termination
MCP Hive reserves the right to suspend or terminate your account, with or without notice, for any reason, including but not limited to:
(a) Violation of these Terms;
(b) Fraudulent, illegal, or harmful activity;
(c) Non-payment of fees owed;
(d) Extended inactivity; or
(e) At MCP Hive's sole discretion to protect the Platform, other Users, or third parties.
3. Consumer Terms
3.1 Subscription Plans
MCP Hive offers subscription plans for Consumers. These are subject to change without notice, refer to the subscription sign-up page for real-time pricing.
3.2 Pay-As-You-Go (Enterprise Plan)
Enterprise plan subscribers may access additional services on a pay-as-you-go basis:
(a) Additional Pool Invocations: Invocations exceeding the included package incur additional costs;
(b) Priced-MCP-Servers: Invocations to Priced-MCP-Servers are charged at the per-invocation rate specified by the Provider, plus applicable platform fees.
3.3 Billing Cycles
(a) Subscriptions are billed monthly, from the first day to the last day of each calendar month;
(b) Invoices are generally generated following the billing period end;
(c) Credit cards on file are charged automatically upon invoice generation;
(d) For other payment methods, payment is due promptly upon receipt of invoice.
3.4 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date. You may cancel your subscription at any time through your account dashboard.
3.5 Payment Methods
We accept payment methods as provided by our payment processor, Stripe, including credit cards (Visa, Mastercard, American Express, Discover), debit cards, ACH/bank transfers (for eligible customers), and digital wallets (Apple Pay, Google Pay).
3.6 Failed Payments
In the event of a failed payment:
(a) You will receive immediate notification;
(b) Automatic retry will occur after three (3) days;
(c) A second retry will occur after seven (7) days;
(d) A final retry will occur after fourteen (14) days;
(e) If payment remains unsuccessful, your account may be suspended;
(f) A grace period of thirty (30) days applies before service termination.
You are responsible for updating your payment method and resolving declined transactions promptly.
3.7 Refund Policy
Refunds may be issued in the following circumstances:
(a) Technical Errors: Duplicate charges or billing errors caused by the Platform;
(b) Service Outages: Service unavailability exceeding our service level commitments.
Refund requests must be submitted within thirty (30) days of the charge. Approved refunds are processed to the original payment method within five (5) to ten (10) business days.
3.8 Price Changes
MCP Hive may modify subscription pricing with at least thirty (30) days' advance notice. Price changes will apply to the billing period following the notice period. If you do not agree to the new pricing, you may cancel your subscription before the new pricing takes effect.
4. Provider Terms
4.1 MCP Server Registration
To register an MCP Server on the Platform, you must:
(a) Have a valid account in good standing;
(b) Complete Provider identity verification as described in Section 2.2;
(c) Provide accurate information about your MCP Server, including name, description, categories, deployment type, and pricing;
(d) Ensure your MCP Server complies with the Model Context Protocol specification; and
(e) Ensure your MCP Server complies with all applicable laws and these Terms.
4.2 Probation Period
All newly registered MCP Servers undergo a probation period during which:
(a) The MCP Server is tested for initial correctness, robustness, and compliance with Platform standards;
(b) The probation period lasts a minimum of seventy-two (72) hours;
(c) MCP Hive may perform up to thirty thousand (30,000) invocations for testing and validation purposes;
(d) These probation invocations are non-compensated and do not generate earnings for the Provider;
(e) The MCP Server is not made available to Consumers until successfully completing probation.
4.3 Ongoing Quality Monitoring
Following the probation period, MCP Servers are subject to ongoing quality monitoring:
(a) MCP Hive may perform health checks and monitoring invocations at a rate of up to six (6) invocations per hour;
(b) These monitoring invocations are non-compensated and do not generate earnings for the Provider;
(c) Quality metrics including accuracy, coverage, latency, and error rates are continuously tracked;
(d) Providers may view quality statistics through their account dashboard.
4.4 Quality Standards and Suspension
MCP Hive reserves the right to suspend any MCP Server that fails to meet quality standards:
(a) If an MCP Server fails to meet quality standards during probation or ongoing monitoring, it will be moved to "suspended" status;
(b) MCP Hive will provide supporting reasons for the suspension;
(c) Providers may modify their MCP Server and resubmit for review;
(d) MCP Hive reserves the right, at its sole discretion, to cease reviewing resubmissions of any MCP Server;
(e) There is no formal appeals process; suspension decisions are final.
4.5 Pricing Models
Providers may choose between two pricing models for each MCP Server:
(a) Subscription Pool: The MCP Server is included in the Subscription Pool. Earnings are calculated based on the Provider's proportional share of total Pool invocations, derived from total subscription revenue after platform fees;
(b) Priced-Per-Invocation: The Provider sets a fixed price per invocation. The MCP Server is not included in the Subscription Pool and is only accessible to Enterprise plan subscribers.
4.6 Platform Fees
MCP Hive retains a platform fee from all Provider earnings:
(a) Platform fees cover operations, infrastructure, support, quality analysis, and MCP Server vetting;
(b) Specific fee rates are confidential and not publicly disclosed;
(c) Net earnings after platform fees are displayed in your Provider dashboard.
4.7 Payouts
Provider earnings are paid according to the following general schedule:
(a) Earnings are calculated for each calendar month (first to last day);
(b) Payouts are typically initiated in the first week of the following month;
(c) Bank receipt timing depends on the destination country and transfer method;
(d) Payouts are processed in USD or your selected local currency;
(e) International payouts may incur transfer fees and currency conversion markups.
4.8 Tax Obligations
Providers are solely responsible for:
(a) Complying with all applicable tax laws in their jurisdiction;
(b) Providing accurate tax documentation (W-8BEN, W-8BEN-E, or equivalent);
(c) Reporting and remitting any taxes owed on earnings received from the Platform;
(d) Consulting with qualified tax professionals regarding their obligations.
MCP Hive will provide tax documentation as required by law, including T4A slips (for Canadian Providers) and NR4 slips (for non-resident Providers, if applicable).
5. Platform Data Use & Monitoring
5.1 Invocation Content Visibility
By using the Platform, you acknowledge and agree that MCP Hive may access, store, process, and analyze the content of all Invocations and their returned values. This includes, without limitation:
(a) The parameters and arguments passed to MCP Server tools;
(b) The responses and outputs returned by MCP Servers;
(c) Metadata associated with Invocations, including timestamps, User identifiers, and MCP Server identifiers.
5.2 Purposes of Data Use
MCP Hive uses Invocation data for the following purposes:
(a) Quality Evaluation: Assessing accuracy, coverage, latency, and error rates of MCP Servers;
(b) Platform Improvement: Enhancing Platform features, performance, and user experience;
(c) Compliance and Fraud Detection: Identifying violations of these Terms, fraudulent activity, and illegal conduct;
(d) Dispute Resolution: Investigating and resolving disputes between Users;
(e) Aggregate Analytics: Generating anonymized, aggregate statistics for reporting and business purposes.
5.3 Data Retention
MCP Hive retains Invocation data and transaction records for a minimum of six (6) years to comply with applicable legal, tax, and regulatory requirements. Longer retention periods may apply where required by law.
5.4 Privacy Policy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and protect personal information in compliance with applicable privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA), the General Data Protection Regulation (GDPR), and the California Consumer Privacy Act (CCPA).
6. Acceptable Use & Prohibited Content
6.1 General Conduct
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not use the Platform in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party's use of the Platform.
6.2 Prohibited Content and Activities
The following content and activities are strictly prohibited on the Platform:
(a) Illegal Activity: Any activity that violates applicable laws, regulations, or legal rights of others;
(b) Fraud: Deceptive, fraudulent, or misleading conduct, including misrepresentation of identity or affiliation;
(c) Intellectual Property Infringement: Content that infringes upon copyrights, trademarks, patents, trade secrets, or other intellectual property rights of third parties;
(d) Privacy Violations: Unauthorized collection, use, or disclosure of personal information;
(e) Violence and Harm: Content that threatens, incites, promotes, or actively encourages violence, terrorism, self-harm, or other serious harm;
(f) Child Exploitation: Any content or activity that promotes, depicts, or facilitates child sexual exploitation or abuse;
(g) Malware and Security Threats: Distribution of malware, viruses, or any code designed to compromise the security, integrity, or availability of any system, network, or device;
(h) Spam and Unsolicited Communications: Distribution of unsolicited mass messages, promotions, advertising, or solicitations;
(i) Adult Content: Sexually explicit or pornographic material;
(j) Gambling: Gambling, lottery, or betting services, unless fully licensed and authorized in all applicable jurisdictions;
(k) Unauthorized Financial Services: Provision of financial services without appropriate licenses and authorizations;
(l) Regulated Goods: Facilitation of transactions involving weapons, controlled substances, or other regulated goods in violation of applicable laws;
(m) Deceptive Practices: Creation of MCP Servers that produce intentionally false, misleading, or deceptive outputs.
6.3 Content Moderation and Removal
MCP Hive reserves the right to review, remove, or disable access to any content or MCP Server that violates these Terms:
(a) Immediate Removal: Content involving illegal activity, child exploitation, or imminent harm may be removed immediately without prior notice;
(b) Standard Removal: For other violations, MCP Hive will endeavor to provide forty-eight (48) hours' notice before removal, except where immediate action is necessary to protect Users, third parties, or the Platform;
(c) No Liability: MCP Hive shall not be liable for any removal or disabling of content in accordance with this Section.
7. Disclaimers & Limitation of Liability
7.1 MCP Servers
MCP SERVERS AVAILABLE ON THE PLATFORM ARE PROVIDED EITHER BY THIRD-PARTY PROVIDERS OR BY MCP HIVE. REGARDLESS OF THE DEVELOPER, ALL MCP SERVERS ARE PROVIDED ON AN "AS IS" BASIS. MCP HIVE DOES NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR THE ACCURACY, RELIABILITY, OR PERFORMANCE OF ANY MCP SERVER OR ITS OUTPUTS, WHETHER DEVELOPED BY MCP HIVE OR BY THIRD-PARTY PROVIDERS.
7.2 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) THE PLATFORM AND ALL MCP SERVERS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED;
(b) MCP HIVE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
(c) MCP HIVE DOES NOT WARRANT THAT THE PLATFORM OR ANY MCP SERVER WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
(d) MCP HIVE DOES NOT WARRANT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY INFORMATION OR OUTPUTS PROVIDED BY MCP SERVERS;
(e) MCP HIVE DOES NOT WARRANT THAT MCP SERVERS WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
7.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) IN NO EVENT SHALL MCP HIVE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES;
(b) IN NO EVENT SHALL MCP HIVE BE LIABLE FOR ANY DAMAGES ARISING FROM:
(i) ERRORS, INACCURACIES, OR OMISSIONS IN MCP SERVER OUTPUTS;
(ii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS;
(iii) CONDUCT OF ANY THIRD PARTY ON THE PLATFORM;
(iv) ANY CONTENT OR MCP SERVER PROVIDED BY PROVIDERS;
(v) SERVICE INTERRUPTIONS, DELAYS, OR UNAVAILABILITY;
(vi) DATA LOSS OR CORRUPTION;
(c) AGGREGATE LIABILITY CAP: MCP HIVE'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO MCP HIVE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM;
(d) THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF MCP HIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.4 Essential Purpose
YOU ACKNOWLEDGE THAT THE DISCLAIMERS AND LIMITATIONS SET FORTH IN THIS SECTION REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK AND ARE FUNDAMENTAL ELEMENTS OF THE BARGAIN BETWEEN YOU AND MCP HIVE. THE PLATFORM WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.
7.5 Jurisdictional Variations
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. TO THE EXTENT THAT SUCH EXCLUSIONS OR LIMITATIONS ARE NOT PERMITTED BY APPLICABLE LAW, THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.
8. Indemnification
8.1 Provider Indemnification
When acting as a Provider, you agree to indemnify, defend, and hold harmless MCP Hive and its directors, officers, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
(a) Your MCP Servers, including but not limited to their functionality, outputs, and any errors or defects therein;
(b) Your violation of these Terms;
(c) Your infringement or misappropriation of any intellectual property rights, privacy rights, or other rights of third parties;
(d) Your violation of any applicable laws or regulations;
(e) Any disputes between you and Consumers regarding your MCP Servers;
(f) Any claims that your MCP Server caused harm, loss, or damage to any third party.
8.2 Consumer Indemnification
When acting as a Consumer, you agree to indemnify, defend, and hold harmless MCP Hive and its directors, officers, employees, agents, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
(a) Your misuse of the Platform or any MCP Server;
(b) Your violation of these Terms;
(c) Your violation of any applicable laws or regulations;
(d) Your infringement of any rights of third parties through your use of the Platform.
8.3 Indemnification Procedure
MCP Hive will promptly notify you of any claim subject to indemnification and will provide reasonable cooperation in the defense of such claim. MCP Hive reserves the right to participate in the defense with counsel of its own choosing and at its own expense. You shall not settle any claim without MCP Hive's prior written consent.
9. Intellectual Property
9.1 Provider Ownership
Providers retain all right, title, and interest in and to their MCP Servers, including all intellectual property rights therein. Nothing in these Terms transfers ownership of any Provider intellectual property to MCP Hive.
9.2 License to MCP Hive
By registering an MCP Server on the Platform, Providers grant MCP Hive a non-exclusive, worldwide, royalty-free license to:
(a) Host, operate, and make the MCP Server available through the Platform;
(b) Perform testing, monitoring, and quality evaluation of the MCP Server;
(c) Display the MCP Server's name, description, and related information on the Platform;
(d) Reproduce and distribute the MCP Server's outputs to Consumers through the Platform;
(e) Create necessary adaptations for Platform integration, including protocol translation, response caching, and output formatting.
This license terminates upon removal of your MCP Server from the Platform, except as necessary for MCP Hive to fulfill its obligations under these Terms.
9.3 Consumer License
Consumers are granted a limited, non-exclusive, non-transferable license to use MCP Servers through the Platform solely for their intended purposes and in accordance with these Terms. This license does not include the right to:
(a) Modify, reverse engineer, or create derivative works of any MCP Server;
(b) Redistribute, sublicense, or make MCP Servers available to third parties outside the Platform;
(c) Remove any proprietary notices from MCP Server outputs;
(d) Use MCP Servers in any manner that violates these Terms or applicable laws.
9.4 MCP Hive Intellectual Property
MCP Hive and its licensors retain all right, title, and interest in and to the Platform, including all software, technology, trademarks, service marks, logos, and other intellectual property. Nothing in these Terms grants you any right to use MCP Hive's trademarks, service marks, or logos without prior written consent.
9.5 Feedback
If you provide MCP Hive with any feedback, suggestions, or ideas regarding the Platform, you grant MCP Hive a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without any obligation to you.
10. Geographic Restrictions & Compliance
10.1 Sanctioned Countries
The Platform is not available to Users located in, or residents of, countries or regions subject to comprehensive sanctions programs administered by:
(a) The Office of Foreign Assets Control (OFAC) of the United States;
(b) Global Affairs Canada;
(c) The European Union;
(d) The United Nations.
This includes, but is not limited to, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine. MCP Hive reserves the right to update this list as sanctions programs change.
10.2 Payment Processor Limitations
The availability of the Platform may be further limited by the geographic coverage of our payment processor, Stripe. Users are responsible for verifying that Stripe services are available in their jurisdiction.
10.3 User Responsibility for Local Compliance
You are solely responsible for compliance with all applicable laws and regulations in your jurisdiction, including but not limited to:
(a) Data protection and privacy laws;
(b) Tax laws and reporting requirements;
(c) Consumer protection laws;
(d) Export control regulations;
(e) Professional licensing requirements.
MCP Hive makes no representation that the Platform or any MCP Server is appropriate or available for use in any particular jurisdiction.
10.4 Export Controls
You agree to comply with all applicable export control laws and regulations. You shall not export, re-export, or transfer any software, technology, or technical data obtained through the Platform to any prohibited destination, entity, or person.
11. Dispute Resolution
11.1 Informal Resolution
Before initiating formal dispute resolution proceedings, you agree to first contact MCP Hive at legal@mcp-hive.com to attempt to resolve any dispute informally. The parties shall engage in good-faith negotiations for a period of thirty (30) days following receipt of the dispute notice.
11.2 Binding Arbitration
If the dispute cannot be resolved informally, you and MCP Hive agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively through final and binding arbitration, rather than in court, except as otherwise provided in this Section.
(a) Arbitration Rules: Arbitration shall be administered in accordance with the rules of the ADR Institute of Canada or another mutually agreed-upon arbitration body;
(b) Venue: Arbitration shall take place in Canada, or at another location mutually agreed upon by the parties;
(c) Language: Arbitration shall be conducted in English;
(d) Decision: The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction;
(e) Costs: Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines that a claim was frivolous, in which case the arbitrator may award reasonable attorneys' fees to the prevailing party.
11.3 Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND MCP HIVE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and MCP Hive agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.
11.4 Consumer Protection Carve-Out
Notwithstanding the foregoing, to the extent that mandatory consumer protection laws in your jurisdiction (including, without limitation, the Quebec Consumer Protection Act, applicable European Union consumer regulations, or other similar laws) prohibit mandatory arbitration or class action waivers for consumer disputes, such provisions shall not apply to you, and you shall retain the right to pursue claims in court or participate in class actions as permitted by applicable law.
11.5 Small Claims Exception
Either party may bring an individual action in small claims court for disputes within the jurisdictional limits of such court, provided the action remains in small claims court and is not removed or appealed to a court of general jurisdiction.
11.6 Governing Law
These Terms shall be governed by and construed in accordance with the federal laws of Canada and the laws of the Province of Ontario, without regard to conflict of law principles. For matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts of Ontario, Canada.
12. Termination
12.1 Consumer Termination
Consumers may terminate their account at any time by:
(a) Cancelling their subscription through their account dashboard; and
(b) Requesting account deletion by contacting support.
Upon termination, your subscription will remain active until the end of the current billing period, after which access to paid features will cease.
12.2 Provider Termination
Providers may terminate their participation by:
(a) Removing all registered MCP Servers from the Platform;
(b) Requesting account deletion by contacting support.
Upon termination, any pending earnings will be paid out in accordance with the standard payout schedule, subject to the minimum payout threshold and applicable fees.
12.3 Termination by MCP Hive
MCP Hive may terminate or suspend your account at any time, with or without cause and with or without notice, including but not limited to situations where:
(a) You have violated these Terms;
(b) Your conduct poses a risk to MCP Hive, other Users, or third parties;
(c) Your account has been inactive for an extended period;
(d) Continued provision of services is prohibited by law;
(e) MCP Hive discontinues the Platform or any portion thereof.
12.4 Effect of Termination
Upon termination of your account:
(a) All licenses granted to you under these Terms immediately terminate;
(b) You must cease all use of the Platform;
(c) MCP Hive may delete your account data in accordance with our data retention policies and applicable law;
(d) For Providers, earned amounts (subject to the minimum payout threshold) will be paid out in accordance with the standard payout schedule;
(e) Any provisions of these Terms that by their nature should survive termination shall survive, including Sections 7, 8, 9, 11, and 13.
12.5 No Refund Upon Termination for Cause
If MCP Hive terminates your account for violation of these Terms, you shall not be entitled to any refund of fees paid.
13. General Provisions
13.1 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the parties' original intent.
13.2 Entire Agreement
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and MCP Hive regarding the subject matter hereof and supersede all prior and contemporaneous agreements, proposals, and communications, whether oral or written.
13.3 Waiver
The failure of MCP Hive to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by MCP Hive.
13.4 Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without MCP Hive's prior written consent. MCP Hive may assign, transfer, or delegate its rights and obligations under these Terms without restriction. These Terms shall bind and inure to the benefit of each party's successors and permitted assigns.
13.5 Force Majeure
MCP Hive shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, network infrastructure failures, or strikes.
13.6 Relationship of the Parties
Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between you and MCP Hive. Providers are independent contractors and not employees, agents, or partners of MCP Hive.
13.7 Third-Party Beneficiaries
These Terms are for the sole benefit of the parties and their respective successors and permitted assigns, and nothing herein shall be construed as conferring any rights on any third party.

All notices to MCP Hive under these Terms shall be sent to:

Notices to Users will be sent to the email address associated with your account or through the Platform. Notices are deemed received upon delivery for email and upon posting for Platform notifications.
13.9 Language
These Terms are drafted in English. If these Terms are translated into any other language and there is a conflict between the English version and the translated version, the English version shall prevail.
13.10 Headings
Section headings are for convenience only and shall not affect the interpretation of these Terms.
